What Is an ITC Transfer Under Section 6418?
Section 6418 of the Internal Revenue Code (added by the IRA in 2022) allows an eligible taxpayer — a clean energy developer — to transfer all or part of an Investment Tax Credit to an unrelated corporate buyer in exchange for cash. The buyer applies the credit dollar-for-dollar against their federal tax liability.
Key rules every developer must understand:
- One-time transfer only. Credits can only be transferred once — the buyer cannot resell.
- Cash consideration only. The buyer must pay in cash (wire, ACH, or check). No equity, no notes.
- Unrelated parties only. Buyer and seller cannot be related under IRC §267(b) or §707(b)(1).
- IRS Pre-Filing Registration is mandatory. Both parties must register with the IRS Energy Credits Online (ECO) portal before the election is valid.
- Election is irrevocable. Once made on the tax return, the transfer election cannot be undone.
Credits eligible for transfer include §48 (solar, storage, EV charging), §48E (clean electricity ITC), §45Y (clean electricity PTC), §45X (advanced manufacturing), and others. For most mid-market solar and storage developers, §48 and §48E are the primary credits.

Register & Verify (Days 1–10)
Both parties must complete IRS Pre-Filing Registration through the Energy Credits Online (ECO) portal. This involves authorizing the portal via ID.me, submitting project documentation, and obtaining a Registration Number. The IRS typically responds within 30 days — start this process as early as possible, ideally before the project is placed in service.
Match (Days 10–20)
Your credit profile — technology type, credit amount, tax year, project location, insurance posture — is matched against a pre-qualified buyer pool. Buyers with confirmed federal tax liability and internal approvals are prioritized. For mid-market deals, expect 3–8 interested buyers.
Due Diligence (Days 20–50)
This is where deals close or die. Buyer's tax counsel reviews: cost segregation or cost basis support, placed-in-service date, prevailing wage and apprenticeship documentation, FEOC compliance, recapture risk and indemnity package, and sponsor financial standing. Insurance procurement runs in parallel. Having a clean, complete diligence package prepared in advance is the single biggest driver of closing speed.
Close (Days 50–60)
Transfer Agreement executed. Funds wired. Section 6418 election filed on both parties' tax returns (Form 3800, Schedule A). Registration number included on both returns.
FEOC Compliance: The New Requirement You Cannot Ignore
The One Big Beautiful Bill Act (OBBBA, signed July 4, 2025) introduced "Prohibited Foreign Entity" (PFE) restrictions that apply to ITC transfers for projects beginning construction after December 31, 2025.
In plain terms: if your project uses components from companies with significant Chinese, Russian, or other restricted-nation ownership (known as Specified Foreign Entities, or SFEs), your credits may be partially or fully disqualified.
Every transfer now requires:
- Supplier certification that materials do not come from Prohibited Foreign Entities
- Ownership structure review of the developer entity (no ≥25% SFE ownership)
- Review of buyer entity (buyers cannot be SFEs either, for §48E/§45Y/§45X credits)
- Material Assistance Cost Ratio (MACR) documentation for new projects

- ECO portal errors. Entity name mismatches, wrong credit type, or filing before registration is complete can invalidate the transfer. Have an experienced advisor review all registration submissions before filing.
- OBBBA timeline pressure. For wind and solar projects, construction must begin before July 4, 2026, and placement in service before December 31, 2027. Battery storage remains eligible through 2033.
