Tax Credit Insurance in a §48E ITC Transfer: What It Covers, What It Costs, and What Underwriters Need
Tax credit insurance is not optional in today's §6418 market — buyers' counsel require it. Here is exactly how it works, what it costs, and what documentation is needed before a policy can be bound.
Why Tax Credit Insurance Exists
In a §6418 ITC transfer, the buyer claims the transferred credits on their own federal income tax return. If the IRS later challenges those credits — because the underlying project was not qualified property, the tax basis was calculated incorrectly, or a recapture event occurred — it is the buyer's return that is at risk, not the seller's.
Tax credit insurance exists to close this gap. It is a specialty insurance product that indemnifies the buyer against the specific risks that could cause the IRS to disallow, reduce, or recapture the transferred credits. Without it, the buyer's only recourse is the seller's contractual indemnity — which is only as good as the seller's balance sheet.
In practice, tax credit insurance has become a market requirement. Experienced corporate buyers and their counsel will not proceed to term sheet without evidence that insurance is available. For sellers, arranging insurance is not a cost to be avoided — it is the mechanism that makes the credit purchasable.
The Cost Structure: What 8% Actually Means
Market-standard all-in cost for §48E BESS tax credit insurance is approximately 8% of the total coverage limit. The coverage limit is typically set at 125% of the credit face value — a gross-up that accounts for the buyer's tax liability on any indemnity payment received.
For a $3.2M §48E credit, the math works as follows:

The premium component (5% ROL — Rate on Line) is what the insurance market charges for bearing the risk. The underwriter fee, broker fee, and applicable surplus lines taxes are layered on top to arrive at the all-in cost.
The $200,000 retentionmeans the buyer absorbs the first $200,000 of any covered loss before the insurance policy responds. This is not a deductible in the traditional sense — it is a risk-sharing mechanism that aligns the buyer's interests with clean documentation and careful diligence. The retention amount is negotiated as part of the policy terms and varies by deal size and risk profile.
The Nine Covered Tax Positions
Tax credit insurance does not provide blanket protection against all tax risk. It covers a specific, enumerated set of Covered Tax Positions (CTPs) — the legal conclusions that must be true for the credits to be valid and transferable. Understanding what is covered helps buyers assess their residual risk and helps sellers understand what their documentation must support.
Market-standard CTPs for a §48E residential BESS portfolio include:
Nine Covered Tax Positions — §48E BESS
Credit validity — no disallowance or diminishment
The credits will not be disqualified, disallowed, reduced, denied, or diminished by the IRS, including from an "excessive credit transfer" under §6418(g)(2). This is the primary coverage and the reason the policy exists.
Energy property qualification
Each system qualifies as "energy property" within the meaning of §48 of the Code.
Tax basis — credit computation
The eligible tax basis used to compute the credits is at least equal to the basis allocated to ITC-eligible assets in the independent cost segregation appraisal.
Tax basis — eligible vs. non-eligible allocation
The allocation of tax basis between ITC-eligible property and non-eligible property, as shown in the appraisal, will be respected by the IRS.
Construction commencement date
Each system began construction prior to January 1, 2025, satisfying the applicable begin-construction requirement.
Enhanced credit rate — sub-1MW exemption
Each system qualifies for the 5x ITC percentage multiplier (resulting in the 30% enhanced rate) because it is under 1MW AC — satisfying the small project PWA exemption without requiring prevailing wage compliance.
Depreciation basis
The tax basis of the system assets as set forth in the appraisal will be respected for depreciation and amortization purposes.
Placed-in-service date
The placed-in-service date for each system will be respected by the IRS — confirming the tax year in which the credits were generated.
No recapture
None of the transferred credits have been or will be subject to recapture under §50 of the Code during the 5-year recapture period.
Coverage also includes seller eligibility (§6418 "eligible taxpayer"), credit eligibility (§6418(f)(1) "eligible credits"), buyer entitlement, IRS registration compliance, and transfer validity. Actual policy language governs.
What Is Not Covered: The FEOC Exclusion
The most important coverage exclusion in current market-standard §48E BESS policies is FEOC (Foreign Entity of Concern) compliance. Tax credit insurance underwriters have explicitly excluded FEOC-related credit challenges from covered tax positions for 2025 credits.
The practical implication: if the IRS were to challenge a 2025 §48E credit on the basis that battery components sourced from FEOC-affiliated suppliers disqualify the credit, the insurance policy would not respond. The buyer would bear that risk directly.
For most 2025-placed-in-service residential BESS portfolios, FEOC exposure is limited by the phase-in schedule for FEOC battery content restrictions — the full restrictions did not apply to 2025 projects in the same way they will apply to later vintage credits. However, buyers' counsel will invariably ask for a FEOC compliance memo, and sellers should have one prepared.
The FEOC exclusion does not make 2025 BESS credits un-insurable — it means that FEOC risk must be addressed through seller representations and warranties in the TCTA rather than through the insurance policy.
Named Insured: Why the Buyer Must Be on the Policy
A critical structural question in every §6418 insurance arrangement is whether the buyer is a named insuredon the policy — meaning the buyer's name appears on the policy and the buyer has a direct right to make claims against the insurer.
The alternative — a policy issued solely in the seller's name, with the seller's indemnity serving as the buyer's indirect protection — is not acceptable to most experienced buyers' counsel. If the seller becomes insolvent, loses the proceeds of a claim, or simply fails to pass the insurance payment through, the buyer has no direct recourse against the insurer.
Market-standard practice for §6418 transfers: the buyer is listed as an additional named insured or the policy is issued directly in favor of the buyer. This gives the buyer a direct contractual relationship with the insurance company, independent of the seller's financial health or cooperation.
Confirming named-insured status is one of the first questions buyers' counsel will ask when reviewing the insurance binder at closing.
What Underwriters Need Before Binding Coverage
Tax credit insurance is not an off-the-shelf product. Underwriters perform their own diligence on the underlying project before agreeing to bear the risk. The process from initial submission to formal market quotes takes a minimum of 3–4 weeks for a well-documented residential BESS portfolio.
The standard submission package that underwriters require includes:
- Financial model — Project-level financials showing the ITC calculation, eligible basis, and credit generation methodology
- Independent cost segregation study— The engineer's report from a qualified firm (e.g., Marshall & Stevens, Kroll) confirming ITC-eligible basis by system
- CIM or project overview — A Confidential Information Memorandum or equivalent summary describing the portfolio: number of systems, locations, installed capacity, commissioning dates
- IRS Energy Credits Online registration — Confirmation that each system has been pre-registered with the IRS and registration numbers are available
- Placed-in-service documentation — Interconnection agreements, commissioning records, or utility enrollment confirming placed-in-service dates
- Draft term sheet or TCTA — The proposed transaction structure, including governing law, indemnification scope, and payment terms
- Property and casualty insurance confirmation— Evidence that the underlying physical assets are covered by P&C insurance (relevant to underwriters' recapture risk modeling)
- Lender confirmation — Confirmation of whether any lender holds a security interest in the project assets
The completeness of this package directly determines timeline. Submissions missing key items — particularly the cost segregation study or placed-in-service documentation — will stall in underwriting and extend the timeline beyond 4 weeks.
Desktop Indication vs. Formal Market Quote
Buyers and sellers frequently ask for insurance cost estimates early in a transaction — before the full submission package is assembled. Underwriters can provide a desktop indication: a preliminary, non-binding estimate of premium and coverage structure based on the information available.
A desktop indication is useful for:
- Modeling the seller's net proceeds and deal economics before committing to a transfer
- Including an indicative insurance cost in the buyer's information package
- Setting expectations for both parties on the all-in cost of the transaction
A desktop indication is not a commitment to insure. The formal market quote — issued after a complete underwriting submission — is what governs the actual policy terms and premium. The delta between a desktop indication and a formal quote can be meaningful, particularly if the submission reveals concentration risk, missing documentation, or FEOC exposure not identified at the indication stage.
For closing purposes, buyers' counsel requires a formal binder letter — a binding commitment from the insurer that coverage is in place — executed on or before the TCTA signing date. Desktop indications and informal quotes are not sufficient for closing.
Geographic Concentration and Its Effect on Pricing
One factor that meaningfully affects insurance pricing for residential BESS portfolios is geographic concentration. A portfolio of 290 systems located across multiple states or counties has a materially different risk profile than 290 systems concentrated in a single California neighborhood.
Underwriters model natural disaster risk (fire, earthquake, flood) as a correlated risk across concentrated portfolios. If a fire season damages systems in a single area, a geographically concentrated portfolio could trigger recapture across a large number of systems simultaneously — increasing the insurer's exposure relative to a distributed portfolio.
Sellers with geographically concentrated residential BESS portfolios should disclose this at the outset of the insurance submission process. Underwriters will discover it during diligence regardless, and early disclosure avoids re-pricing surprises late in the timeline.
The Three-Article Framework: TCTA, Insurance, and the Buyer Guide
Tax credit insurance does not exist in isolation — it is one layer of a three-part protection framework that sophisticated §6418 buyers rely on:

All three layers must be in place at closing for a §6418 transaction to meet institutional buyer standards. A transaction with strong documentation but no insurance, or strong insurance but a deficient TCTA, leaves the buyer with incomplete protection.
